1. Agreement to These Terms
These Terms of Use ("Terms") govern your access to and use of the website located at www.340bauditor.com (the "Site"), operated by 340B Auditor LLC ("340B Auditor," "we," "our," or "us").
By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Site.
2. Relationship to Client Service Agreements
These Terms govern use of the Site only. They do not govern the audit, consulting, or compliance services 340B Auditor provides to its clients.
If you have entered into a written services agreement, engagement letter, or Business Associate Agreement with 340B Auditor, that agreement controls with respect to those services, and nothing in these Terms modifies, limits, or supersedes it.
3. No Professional Advice and No Consulting Relationship
The content on the Site, including articles, summaries, program updates, regulatory commentary, service descriptions, and interactive tools and their outputs, is provided for general informational purposes only. It is not legal, regulatory, compliance, accounting, clinical, or professional advice, and it is not a substitute for advice from a qualified professional regarding your specific circumstances.
340B program requirements, HRSA guidance, and manufacturer policies change frequently and are applied based on facts specific to each covered entity. Content on the Site may not reflect the most current guidance and may not apply to your program.
Interactive tools on the Site, including the Manufacturer Policy Impact Tool and the Medicaid Billing reference, summarize manufacturer policies and public agency information as of the date shown and may be incomplete or out of date. Always verify against the manufacturer’s or agency’s current published policy before acting.
Your use of the Site, including submitting a contact form, requesting a consultation, or subscribing to updates, does not create a consultant-client relationship, an engagement, or any professional or fiduciary duty between you and 340B Auditor. A relationship is formed only through a written agreement signed by both parties.
You should not act, or refrain from acting, based on Site content without seeking professional advice specific to your situation.
4. No Guarantee of Results
340B Auditor does not guarantee any particular outcome, including the result of any HRSA audit, manufacturer review, state agency review, or other regulatory examination, and does not guarantee any level of savings, recovery, or program performance. Any examples, descriptions, or discussions of past work are examples only and do not predict future results.
5. Do Not Submit Confidential or Protected Health Information
Do not submit protected health information, patient records, claims data, pricing data, or other confidential or proprietary information through the Site, through any form on the Site, or by unencrypted email.
Information you submit through the Site is not treated as confidential or privileged, and submitting it does not create any duty of confidentiality on our part. If you need to transmit sensitive information, contact us directly and we will arrange a secure method.
6. Intellectual Property
The Site and all of its contents, including text, graphics, logos, icons, images, page design, layout, and the selection and arrangement of content, are owned by 340B Auditor or its licensors and are protected by United States copyright, trademark, and other intellectual property laws.
The name "340B Auditor," the 340B Auditor shield logo, the tagline "Your Partner in Program Integrity," and the tagline "Maximizing Savings, Minimizing Risk" are trademarks and service marks of 340B Auditor. You may not use them, or any confusingly similar mark, without our prior written permission, including in any manner that suggests sponsorship, affiliation, or endorsement by 340B Auditor.
You may view, download, and print Site content for your own internal, non-commercial reference. You may not otherwise reproduce, republish, distribute, modify, create derivative works from, sell, or commercially exploit any Site content without our prior written permission.
Nothing on the Site grants you any license or right in our intellectual property by implication, estoppel, or otherwise.
7. Prohibited Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms
- Copy, scrape, harvest, or systematically extract Site content by automated means
- Attempt to gain unauthorized access to the Site, its servers, or any connected systems

9. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, 340B AUDITOR DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, timely, secure, or error free, or that any content is accurate, complete, or current.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, 340B AUDITOR AND ITS OWNERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST SAVINGS, LOST DATA, REGULATORY PENALTIES, OR REPAYMENT OBLIGATIONS, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless 340B Auditor and its owners, officers, employees, and contractors from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Alabama, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Lee County, Alabama, and you consent to personal jurisdiction and venue in those courts.
13. Changes to These Terms
We may revise these Terms at any time by posting an updated version on the Site and revising the "Last Updated" date above. Changes are effective when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
14. General
If any provision of these Terms is found unenforceable, that provision will be limited or severed and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with the Privacy Policy, constitute the entire agreement between you and 340B Auditor regarding the Site. You may not assign these Terms without our written consent.
